These Terms and Conditions ("Terms") govern your access to and use of the software products and services ("Services") provided by CADBrix ("we," "our," or "us"), including Production-Tracker, DealerSync, VisiTrack, and Payroll & Attendance. By accessing or using our Services, you agree to be bound by these Terms.

1. Acceptance of Terms

By creating an account, downloading our applications, or using any of our Services, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you must not access or use our Services.

2. Description of Services

CADBrix provides enterprise software solutions including:

• Production-Tracker: Production management platform for manufacturing units, including order management, job cards, inventory tracking, HR management, and dispatch operations
• DealerSync: Dealer network management dashboard for tracking transactions, uploads, and dealer operations
• VisiTrack: Vehicle movement tracking and service management application for automotive workshops and service centers
• Payroll & Attendance: Employee management and attendance tracking platform featuring tablet-based face kiosk punch-in, payroll processing, leave management, and cross-platform desktop and mobile apps

3. User Accounts

To use our Services, you may need to create an account. You are responsible for:

• Providing accurate and complete registration information
• Maintaining the security and confidentiality of your login credentials
• All activities that occur under your account
• Notifying us immediately of any unauthorized use of your account

We reserve the right to suspend or terminate accounts that violate these Terms or are inactive for an extended period.

4. Subscription and Payment

• Our Services are offered on a subscription basis. Pricing details are provided upon request or through our sales team.
• All fees are quoted in Indian Rupees (INR) unless otherwise specified.
• Payment is due as per the agreed billing cycle (monthly, quarterly, or annual).
• Applicable taxes (GST) will be added to the subscription fee as per Indian tax regulations.
• Non-payment may result in suspension or termination of Services.
• We accept payments through authorized payment gateways, bank transfers, and UPI.

5. License and Usage Rights

Subject to your compliance with these Terms and payment of applicable fees, we grant you a limited, non-exclusive, non-transferable, revocable license to:

• Access and use the Services for your internal business operations
• Install and use mobile applications on devices owned or controlled by you
• Allow authorized users within your organization to access the Services

You may not:

• Copy, modify, distribute, sell, or lease any part of our Services
• Reverse engineer, decompile, or attempt to extract the source code
• Use the Services for any unlawful purpose
• Share your login credentials with unauthorized individuals
• Attempt to gain unauthorized access to our systems or networks
• Use the Services to store or transmit malicious content

6. Intellectual Property

All intellectual property rights in the Services, including but not limited to software, designs, algorithms, documentation, and trademarks, are owned by CADBrix. Nothing in these Terms transfers any intellectual property rights to you. Your data remains your property; we claim no ownership over information you input into our Services.

7. Data and Content

• You retain ownership of all data you submit through our Services.
• You grant us a limited license to process, store, and transmit your data solely for the purpose of providing the Services.
• You are responsible for the accuracy, legality, and appropriateness of the data you input.
• We will handle your data in accordance with our Privacy Policy.

8. Service Availability and Support

• We strive for 99% uptime but do not guarantee uninterrupted service. Scheduled maintenance will be communicated in advance when possible.
• Technical support is available via email at [email protected] and phone at +91 99229 53717 during business hours (Monday–Saturday, 9:00 AM – 6:00 PM IST).
• We provide on-site training and support for enterprise customers as per the agreed service level agreement (SLA).

9. Limitation of Liability

To the maximum extent permitted by law:

• Our total liability for any claims arising from or related to these Terms shall not exceed the amount you paid us in the 12 months preceding the claim.
• We shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities.
• We are not responsible for damages caused by factors outside our reasonable control, including internet connectivity issues, third-party service failures, or force majeure events.

10. Indemnification

You agree to indemnify and hold harmless CADBrix, its officers, employees, and agents from any claims, losses, damages, liabilities, costs, and expenses (including legal fees) arising from your use of the Services, violation of these Terms, or infringement of any third-party rights.

11. Termination

• Either party may terminate the subscription with 30 days' written notice.
• We may terminate or suspend your access immediately if you violate these Terms.
• Upon termination, your right to use the Services ceases immediately.
• You may request export of your data within 30 days of termination.
• Data will be permanently deleted 90 days after termination unless required by law.

12. Modifications to Terms

We reserve the right to modify these Terms at any time. Material changes will be communicated via email or through our platform. Continued use of the Services after changes constitutes acceptance of the modified Terms.

13. Governing Law and Disputes

These Terms shall be governed by and construed in accordance with the laws of India. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts in Pune, Maharashtra, India. Before initiating legal proceedings, parties agree to attempt resolution through good-faith negotiation.

14. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be modified to the minimum extent necessary, and the remaining provisions shall continue in full force and effect.
